The documents required for setting up a branch company are the Registration Certificate/Trade License, Certificate of Good Standing, Board Resolution, Memorandum and Articles of Association, Certificate of Incumbency/Extract from Registry, and UBO Declaration Form.

    GCC Company Formation

    GCC nationals can register their company as a partnership firm (given that all partners are GCC nationals) or as a sole establishment. GCC nationals can own 100% shares of professional and commercial companies. A GCC national with a non-GCC national as a partner can set up only a limited liability company, and in such a case, the UAE national should own 51% of the shares. GCC shareholders who fully own GCC companies can open branches in the UAE mainland without being referred to the Ministry of Economy.

    Local Company Formation

    Based on whether one is in the B2B (Business-to-Business) segment or the B2C (Business-to-Consumer) segment, one can choose to set up business in Abu Dhabi or in a free zone. A free zone offers 100% ownership of the company and it can only be an LLC (limited liability company). LLCs cannot take up certain commercial activities such as finance, banking, and investments.

    Other Emirates Branch Formation

    To start a branch office in the UAE, foreign investors have to fill in an application with the Ministry of Economy. A service agent agreement is to be provided during the submission. Taking consent from the Ministry of Economy and getting approval from the UAE Federal Foreign Companies Committee is required. Obtaining the License from the Ministry of Economy, getting the Business License and getting registered with the Commercial Authorities are also mandatory for other Emirates branch formation.
